Terms of Service

These Terms of Service ('Terms') govern your access to and use of the services provided by Zyrix Global Teknoloji A.Ş. ('Zyrix', 'we', 'our', or 'us'), including our payment gateway platform, APIs, plugins, and related services. By registering for or using our services, you agree to be bound by these Terms.
1. Definitions
**'Services'** means the Zyrix payment gateway platform, APIs, merchant dashboard, plugins (including Salla, Zid, Shopify, WooCommerce integrations), and any related products offered by Zyrix.
**'Merchant'** or **'You'** means any individual or legal entity that registers for and uses the Services.
**'Transaction'** means any payment, transfer, settlement, or refund processed through the Services.
**'Settlement'** means the transfer of funds from Zyrix to the Merchant's designated bank account.
**'Applicable Law'** means the laws and regulations of the Republic of Turkey, and, where applicable, the laws of Saudi Arabia, the UAE, Qatar, Kuwait, Egypt, and Iraq relevant to the use of the Services.
2. Eligibility & Registration
To use our Services, you must:
• Be at least 18 years of age
• Be a legally registered business entity or a self-employed individual authorized to conduct commercial activities
• Have a valid commercial registration in your country of operation
• Complete our KYC/KYB verification process successfully
• Not be subject to any sanctions lists (OFAC, EU, UN, or applicable local sanctions)
• Not operate in a prohibited industry (see Section 6)
By registering, you warrant that all information provided is accurate, complete, and up to date. You are responsible for keeping your account credentials secure.
3. Services & Account
**3.1 Account Access:** Zyrix grants you a non-exclusive, non-transferable, revocable license to access and use the Services for your business purposes, subject to these Terms.
**3.2 API Access:** If you use our API, you must comply with our API documentation and usage guidelines. You may not use the API to exceed rate limits, bypass security measures, or access data you are not authorized to access.
**3.3 Account Security:** You are solely responsible for all activity occurring under your account. Notify us immediately at support@zyrix.co if you suspect unauthorized access.
**3.4 Sub-merchants:** If you operate a marketplace or platform and process payments on behalf of third parties, you must obtain our written approval and ensure your sub-merchants comply with these Terms and Applicable Law.
4. Fees & Pricing
**4.1 Transaction Fees:** Fees are charged as a percentage of each processed transaction as set out in your subscription plan. Current rates are:
• Starter: $0/month for up to $1,000 monthly volume
• Basic: 1% per transaction ($1,000–$3,000/month)
• Growth: 0.8% per transaction ($3,000+/month)
• Enterprise: Custom pricing
**4.2 Chargeback Fees:** A fee of $15 USD (or equivalent) applies per disputed transaction.
**4.3 Withdrawal Fees:** Fees for withdrawals to bank accounts depend on your bank and the transfer network. These are displayed before confirmation.
**4.4 Fee Changes:** We will provide 30 days' written notice of any fee increases. Continued use of the Services after the notice period constitutes acceptance.
**4.5 Taxes:** You are responsible for all applicable taxes, including VAT, KDV (Turkey), or other indirect taxes arising from your use of the Services.
5. Settlement & Payouts
**5.1 Settlement Timeline:** Fiat currency settlements are typically processed within 1–3 business days. Cryptocurrency settlements are near-instant following sufficient blockchain confirmations.
**5.2 Settlement Currency:** Settlements are made in the currency agreed upon during onboarding (TRY, SAR, AED, IQD, EGP, USD, or other agreed currency).
**5.3 Reserves:** Zyrix reserves the right to hold a rolling reserve (up to 10% of monthly transaction volume) for up to 180 days to cover potential chargebacks, disputes, or fraud losses, particularly for new merchants or high-risk transaction patterns.
**5.4 Withholding:** We may withhold settlements if we suspect fraud, receive a chargeback notice, receive a legal order, or determine that your account is in violation of these Terms.
6. Prohibited Activities
You may not use the Services for:
• Illegal goods or services under Applicable Law
• Adult content, gambling, or online gaming without appropriate licensing
• Weapons, ammunition, or military equipment
• Narcotics, controlled substances, or related paraphernalia
• Pyramid schemes, Ponzi schemes, or fraudulent investment products
• Counterfeit goods or intellectual property infringement
• Activities that violate anti-money laundering or counter-terrorism financing laws
• Transactions with sanctioned individuals, entities, or jurisdictions
• Any activity that violates the laws of the Republic of Turkey, Saudi Arabia, UAE, Qatar, Kuwait, or any other jurisdiction in which your customers are located
Violation of this section may result in immediate account suspension, fund withholding, and reporting to relevant authorities.
7. Compliance & KYC/KYB
**7.1 KYC/KYB Obligations:** You must provide accurate and complete KYC/KYB documentation as required. Failure to maintain updated documents may result in service suspension.
**7.2 AML/CTF:** You agree to comply with all applicable anti-money laundering and counter-terrorism financing laws, including Turkey's Law No. 5549, Saudi Arabia's AML Law, and UAE Federal Decree-Law No. 20 of 2018.
**7.3 Reporting:** Zyrix is required by law to report suspicious transactions to MASAK (Turkey), SAMA (Saudi Arabia), CBUAE (UAE), and other relevant financial intelligence units. By using our Services, you consent to such reporting.
**7.4 Record Keeping:** You must maintain transaction records for a minimum of 5 years as required by Applicable Law.
8. Intellectual Property
**8.1 Zyrix IP:** All software, APIs, logos, trademarks, and content provided by Zyrix remain the exclusive property of Zyrix Global Teknoloji A.Ş. You receive no ownership rights — only a limited license to use the Services.
**8.2 Your IP:** You retain ownership of your data, branding, and content. You grant Zyrix a limited license to use your data solely to provide the Services.
**8.3 Feedback:** Any feedback or suggestions you provide to Zyrix may be used by us without restriction or compensation.
9. Liability & Disclaimers
**9.1 Service Availability:** We target 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance.
**9.2 Limitation of Liability:** To the maximum extent permitted by Applicable Law, Zyrix's total liability to you for any claim arising out of these Terms shall not exceed the fees paid by you to Zyrix in the 3 months preceding the claim.
**9.3 Exclusion of Consequential Damages:** Zyrix is not liable for any indirect, incidental, special, or consequential damages, including lost profits, loss of data, or business interruption.
**9.4 Third-Party Services:** Zyrix is not responsible for the acts or omissions of third-party payment networks, banks, or blockchain networks.
10. Indemnification
You agree to indemnify, defend, and hold harmless Zyrix Global Teknoloji A.Ş., its officers, directors, employees, and agents from any claims, losses, damages, or expenses (including legal fees) arising from:
• Your use of the Services in violation of these Terms
• Your violation of any Applicable Law
• Any dispute between you and your customers
• Any fraudulent transactions processed through your account
• Your breach of any representation or warranty made in these Terms
11. Term & Termination
**11.1 Term:** These Terms remain in effect as long as you use the Services.
**11.2 Termination by You:** You may close your account at any time by contacting support@zyrix.co. Pending settlements will be processed per our standard timeline.
**11.3 Termination by Zyrix:** We may suspend or terminate your account immediately if you violate these Terms, engage in prohibited activities, fail KYC/KYB requirements, or pose a risk to other users or the platform.
**11.4 Effect of Termination:** Upon termination, your license to use the Services ends. We will retain your data as required by Applicable Law (see Privacy Policy).
12. Governing Law & Dispute Resolution
**12.1 Governing Law:** These Terms are governed by the laws of the Republic of Turkey.
**12.2 Jurisdiction:** Any disputes shall be subject to the exclusive jurisdiction of the Istanbul (Çağlayan) Courts and Enforcement Offices.
**12.3 Alternative Dispute Resolution:** Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiations for a period of 30 days.
**12.4 Language:** In the event of any conflict between translated versions of these Terms, the Turkish version shall prevail.
13. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on our website at least 30 days before they take effect. Continued use of our Services after the effective date constitutes acceptance of the updated Terms.
