Merchant Agreement

This Merchant Agreement ('Agreement') is entered into between Zyrix Global Teknoloji A.Ş. ('Zyrix') and the merchant entity or individual ('Merchant') who registers for and uses Zyrix's payment services. This Agreement supplements and incorporates by reference our Terms of Service, Privacy Policy, and AML/CTF Policy.

1. Merchant Account

**1.1 Account Registration:** Merchant must provide accurate, complete, and current business information during registration and keep it updated throughout the relationship.


**1.2 Account Security:** Merchant is solely responsible for all activities under their account. API keys and credentials must be stored securely and not shared with unauthorized parties.


**1.3 Multiple Accounts:** Merchant may not operate multiple Zyrix accounts for the same business entity without prior written approval from Zyrix.


**1.4 Account Review:** Zyrix reserves the right to review any merchant account at any time for compliance, risk, or operational reasons.

2. Payment Processing

**2.1 Authorization:** By submitting a transaction through the Zyrix platform, Merchant authorizes Zyrix to process the payment on their behalf.


**2.2 Transaction Limits:** Zyrix may apply per-transaction or monthly processing limits based on the Merchant's plan, risk profile, and regulatory requirements.


**2.3 Currency Conversion:** Where currency conversion is required, Zyrix will apply its then-current exchange rates. Rates are updated periodically and may include a spread.


**2.4 Payment Methods:** Merchant may only accept payment methods that have been enabled in their Zyrix dashboard and for which they have received approval.

3. Fees and Settlement

**3.1 Transaction Fees:** Fees are charged per the Merchant's active plan as displayed in the Zyrix dashboard. Current fee schedules are:

• Starter: Free up to $1,000/month

• Basic: 1% per transaction

• Growth: 0.8% per transaction

• Enterprise: Custom rates


**3.2 Fee Deduction:** Fees are deducted automatically from settlement amounts before disbursement to the Merchant's bank account.


**3.3 Settlement Timeline:** Standard fiat settlements are processed within 1–3 business days. Cryptocurrency settlements are near-instant following blockchain confirmations.


**3.4 Settlement Currency:** Settlements are disbursed in the currency specified during onboarding (TRY, SAR, AED, IQD, EGP, or USD).


**3.5 Rolling Reserve:** For new merchants or high-risk categories, Zyrix may hold a rolling reserve of up to 10% of monthly transaction volume for up to 180 days to cover potential chargebacks and disputes.

4. Chargebacks and Disputes

**4.1 Merchant Liability:** Merchant is fully liable for all chargebacks, reversals, and refunds arising from transactions processed through their account.


**4.2 Chargeback Fee:** A fee of USD 15 (or local currency equivalent) is charged per chargeback regardless of outcome.


**4.3 Chargeback Response:** Merchant must respond to chargeback notifications within 5 business days with supporting documentation. Failure to respond may result in automatic ruling against the Merchant.


**4.4 Excessive Chargebacks:** If Merchant's chargeback rate exceeds 1% of monthly transaction volume, Zyrix may impose enhanced monitoring, increase the rolling reserve, or suspend the account.


**4.5 Fraud Liability:** Merchant is responsible for verifying customer identity and transaction legitimacy. Zyrix is not liable for losses arising from fraudulent transactions that could have been prevented by reasonable Merchant due diligence.

5. Merchant Representations

Merchant represents and warrants that:


• All information provided to Zyrix is accurate, complete, and not misleading

• Merchant has all necessary licenses, permits, and authorizations to conduct its stated business activities

• Merchant's business activities do not violate any applicable laws in its jurisdiction of operation

• Merchant will not use the Zyrix platform for any prohibited activities as defined in the Terms of Service

• Merchant will maintain its own AML/CFT compliance program as required by applicable law

• All transactions submitted through the platform represent genuine commercial transactions

6. Data and Confidentiality

**6.1 Transaction Data:** Zyrix will provide Merchant with access to transaction data through the merchant dashboard. This data may only be used for Merchant's legitimate business purposes.


**6.2 Customer Data:** Merchant agrees to handle customer payment data in accordance with applicable data protection laws (KVKK, PDPL, GDPR) and PCI DSS requirements.


**6.3 Zyrix Confidential Information:** Merchant agrees to keep confidential all non-public information received from Zyrix, including pricing terms, API documentation marked as confidential, and business terms.


**6.4 Data Breach:** Merchant must notify Zyrix within 24 hours of discovering any actual or suspected data breach involving Zyrix-processed payment data.

7. Intellectual Property

**7.1 Zyrix Marks:** Merchant may display Zyrix's 'Powered by Zyrix' badge and accepted payment method logos in accordance with Zyrix's brand guidelines. Any other use of Zyrix's trademarks requires prior written approval.


**7.2 Merchant Marks:** Zyrix may display Merchant's name and logo for reference purposes (e.g., merchant directory, case studies) unless Merchant objects in writing.


**7.3 No Transfer:** Nothing in this Agreement transfers any intellectual property ownership between the parties.

8. Term and Termination

**8.1 Term:** This Agreement begins on the date Merchant registers and continues until terminated by either party.


**8.2 Termination by Merchant:** Merchant may terminate by providing 30 days written notice to support@zyrix.co.


**8.3 Termination by Zyrix:** Zyrix may terminate immediately upon:

• Material breach of this Agreement or Terms of Service

• Engagement in prohibited activities

• Failure to maintain KYC/KYB compliance

• Insolvency or bankruptcy proceedings

• Regulatory or legal requirement


**8.4 Post-Termination:** Upon termination, pending settlements will be processed after deducting all fees, reserves, and chargebacks. Zyrix will retain transaction records as required by applicable law.

9. Limitation of Liability

Zyrix's maximum liability to Merchant under this Agreement shall not exceed the total fees paid by Merchant to Zyrix in the three months preceding the event giving rise to the claim. Zyrix is not liable for indirect, incidental, consequential, or punitive damages. Zyrix is not liable for losses arising from third-party payment network failures, regulatory actions, or force majeure events.

10. Governing Law

This Agreement is governed by the laws of the Republic of Turkey. Disputes shall be subject to the exclusive jurisdiction of the Istanbul (Çağlayan) Courts. For merchants in Saudi Arabia, applicable SAMA regulations also apply. For merchants in UAE, applicable CBUAE regulations also apply.
